These Terms & Conditions (“Agreement”) govern participation in the Eden Alvor Affiliate Program (“Program”), operated by Eden Alvor Lda., a company registered in Portugal (“Eden Alvor”, “we”, “our”, “us”). By registering as an affiliate (“Affiliate”, “you”, “your”), you agree to comply with and be legally bound by this Agreement.
Enrolment in the Program
- To join the Program, you must complete the affiliate registration form and be approved by Eden Alvor.
- We reserve the right to accept or reject applications at our sole discretion, without obligation to provide reasons.
- You must be at least 18 years old to participate.
Affiliate Responsibilities
- You agree to promote Eden Alvor honestly, professionally, and in compliance with all applicable laws and regulations.
- You will not engage in misleading, false, offensive, or unethical marketing practices, including spam, unauthorized paid search ads on our brand name, or misleading claims.
- You are responsible for maintaining your own websites, social media, and marketing channels.
- You must disclose the affiliate relationship in accordance with applicable advertising and consumer protection laws (e.g., EU and FTC guidelines).
Affiliate Links & Tracking
- Upon approval, you will receive access to unique affiliate links via our affiliate dashboard.
- You must use the provided links to ensure accurate tracking and commission attribution.
- Eden Alvor is not responsible for tracking errors, technical malfunctions, or issues beyond our reasonable control.
Commission & Payments
- Commission Rate: Affiliates earn 10% commission on confirmed and completed bookings made via their affiliate links.
- Exclusions: Cancellations, refunded bookings, chargebacks, fraudulent transactions, or bookings made by the affiliate themselves are not commissionable.
- Payments: Commissions are paid automatically via Stripe or PayPal, provided you have submitted valid payment details.
- Payout Schedule: Payments are processed monthly, subject to a minimum balance of €50. Unpaid balances roll over to the next period.
- Affiliates are responsible for all taxes, fees, and compliance with their local tax authorities.
Term & Termination
- 5.1. This Agreement begins upon your acceptance and remains in effect until terminated.
- 5.2. Either party may terminate this Agreement at any time, with or without cause, by providing written notice (email is sufficient).
- 5.3. Eden Alvor may immediately suspend or terminate your account for violations of these Terms, fraudulent activity, or conduct deemed harmful to our brand.
- 5.4. Upon termination, you must remove all affiliate links and promotional materials relating to Eden Alvor. Any unpaid but valid commissions will be paid on the next payout cycle.
Intellectual Property
- Eden Alvor grants Affiliates a limited, non-exclusive, revocable license to use our logos, images, and marketing materials solely for participation in the Program.
- You may not alter, modify, or misrepresent our brand assets without prior written approval.
- All rights, titles, and interests in Eden Alvor intellectual property remain with Eden Alvor Lda.
Limitation of Liability
- Eden Alvor shall not be liable for indirect, incidental, or consequential damages, including lost profits, arising from participation in the Program.
- Our total liability under this Agreement shall not exceed the total commissions paid to you in the preceding six (6) months.
Confidentiality
- Affiliates may gain access to confidential information such as business practices, pricing, and customer data.
- You agree not to disclose or misuse such information during and after participation in the Program.
Independent Contractor Relationship
- Affiliates are independent contractors and not employees, partners, or agents of Eden Alvor.
- You have no authority to bind Eden Alvor or make representations on our behalf.
Governing Law & Disputes
- This Agreement shall be governed by and construed in accordance with the laws of Portugal.
- Any disputes shall be resolved by the competent courts in Portimão, Portugal, unless otherwise required by mandatory law.
Amendments
- Eden Alvor reserves the right to update or modify these Terms at any time.
- Affiliates will be notified of significant changes via email or the affiliate dashboard. Continued participation constitutes acceptance of the updated Terms.
Acceptance
- By enrolling in the Eden Alvor Affiliate Program, you confirm that you have read, understood, and agreed to these Terms & Conditions.
